Key Point
Wolfspeed received a conditional commitment for up to $1.5 billion of financing from the U.S. Department of War (DoW)
On October 7, 2026, Wolfspeed announced it had received a conditional commitment letter from the U.S. Department of War (DoW) Office of Strategic Capital (OSC) for up to $1.5 billion of long-term financing. The financing would support domestic development and production of SiC materials and wide-bandgap (WBG) power devices, with an emphasis on U.S. national security applications.
The DoW facility has up to four tranches, a 30-year maturity and a 36-month availability period
According to the 8-K, the financing is a senior secured delayed draw term loan of up to $1.5 billion in total. The initial tranche is $600 million, and the remaining $900 million is split into up to three tranches of $200–400 million. The expected maturity is 30 years and the availability period 36 months.
The initial $600 million will fully refinance first-lien secured notes due 2030
According to the 8-K, the initial tranche ($600 million) would be used on the funding date to fully refinance Wolfspeed's first-lien senior secured notes due 2030 and pay transaction costs. The remaining tranches would fund project costs, including domestic production.
Wolfspeed plans domestic GaN power device production and radiation hardening with the financing
Wolfspeed plans to use the financing to strengthen its domestic SiC materials and power device business, establish, expand or reshore domestic production of low- and high-voltage GaN power devices, advance GaN-on-SiC RF epitaxial wafer technology, and develop domestic radiation-hardening capabilities. Its production sites are in North Carolina, New York and Arkansas.
The interest rate is Treasury yield plus 1.25–1.75%, with interest capitalisable for the first five years
According to the 8-K, the interest rate is expected to be the Treasury yield of matching tenor plus a risk premium, provisionally 1.25–1.75%. The first five years are an interest-only period in which interest can be capitalised absent a default. After that, principal and interest are paid quarterly in cash with 25-year level amortisation.
Wolfspeed will issue the DoW warrants for up to 7.5% of fully diluted equity
Subject to signing a definitive agreement, Wolfspeed must issue the DoW VWAP-based warrants to acquire up to 7.5% in total of its fully diluted equity. The warrants are issued pro rata as each tranche is funded.
Funding requires at least $750 million of own contributions and efforts to equitise convertible notes
According to the 8-K, conditions for funding each tranche include contributing qualifying contributions (such as third-party equity proceeds) received after June 28, 2026 totalling at least $750 million ($150 million for the initial tranche, of which $50 million must be raised in equity before the loan becomes effective). Other conditions include commercially reasonable efforts to equitise a substantial portion of the principal of the convertible notes, letters of intent or definitive offtake agreements acceptable to the OSC, and congressional authorisation and appropriations with the consent of the Office of Management and Budget (OMB).
Wolfspeed states there is no assurance of a definitive agreement or funding
Wolfspeed states that a definitive agreement and funding require substantial due diligence, numerous conditions, negotiations, significant closing conditions, government approvals, appropriations and third-party consents, and that there is no assurance a definitive agreement will be signed or that the loan will be made.
