On October 7, 2026, Wolfspeed announced that it had received a conditional commitment letter from the U.S. Department of War (DoW) Office of Strategic Capital (OSC) for up to $1.5 billion of long-term financing. The financing would support domestic development and production of SiC materials and wide-bandgap (WBG) power devices, with an emphasis on U.S. national security applications.
The expected maturity is 30 years. But this is a "conditional commitment" ahead of a definitive agreement, and it comes with many conditions. Wolfspeed itself states that there is no assurance a definitive agreement will be signed or that the loan will be funded.
Loan structure: refinancing first, then the project
Amount and maturity
Up to $1.5 billion, 30-year maturity. Initial $600 million plus $900 million in up to three tranches.
Interest rate
Treasury yield of matching tenor plus a risk premium (provisionally 1.25–1.75%). Interest can be capitalised for the first five years, then 25-year level amortisation.
Warrants
Up to 7.5% of fully diluted equity issued to the DoW, pro rata as each tranche is funded.
Key conditions
At least $750 million of qualifying contributions, efforts to equitise convertible notes, offtake agreements, and congressional authorisation and appropriations.
The first tranche goes not to capital spending but to refinancing existing notes. Wolfspeed emerged from Chapter 11 in September 2025, but improving its capital structure remained an open task. CFO Gregor van Issum described the commitment as a milestone toward optimising the capital structure and strengthening the balance sheet.
What the money is for: SiC plus GaN and radiation hardening
Wolfspeed says it would use the financing for the following multi-year plan:
- Strengthening its domestic SiC materials and power device business (expanding domestic SiC wafer and power device production)
- Establishing, expanding or reshoring domestic production of low- and high-voltage GaN power devices
- Advancing GaN-on-SiC RF epitaxial wafer technology (for next-generation communications infrastructure and electronic warfare systems)
- Radiation-hardening current SiC products and future GaN products
Its production sites are in North Carolina, New York and Arkansas. Naming GaN power device production in the plan is new for Wolfspeed, whose core business has been SiC.
Conditions before funding
- October 7, 2026Conditional commitment letter
OSC conditionally commits up to $1.5 billion. Wolfspeed discloses the conditions in an 8-K.
- Before definitive agreementDue diligence and negotiation
OSC review of business, financial, legal and technical matters. Submission of a budget and letters of intent for offtake agreements are prerequisites.
- Before the loan becomes effectiveRaise $50 million in equity
Of the $150 million own-funding contribution for the first tranche, $50 million must be raised through third-party equity before the loan becomes effective.
- 36 months after effectivenessAvailability period
Each draw requires compliance with financial covenants such as loan-to-value. Tranches from the second onward also require additional review and offtake agreements.
The conditions are heavy. Wolfspeed must contribute at least $750 million in qualifying contributions, such as third-party equity proceeds received after June 28, 2026; use commercially reasonable efforts to equitise a substantial portion of the principal of its convertible notes; sign offtake agreements with buyers acceptable to the OSC; and obtain congressional authorisation and appropriations along with the consent of the Office of Management and Budget (OMB).
What it means for procurement and business planning
- Separate "committed" from "funded": this is still a conditional stage, and the money is not certain. When evaluating SiC suppliers, it is better not to change the financial assessment materially until the definitive agreement is signed and the first tranche is funded
- Equity dilution: the 7.5% warrants, the equitisation of convertible notes and $750 million of equity and other funding all point toward dilution for existing shareholders
- What the offtake condition means: offtake agreements with buyers are a condition of the loan. If long-term contracts, including defense applications, increase, they could affect how supply is allocated to commercial customers. Continuing to compare alternative suppliers remains worthwhile
